Owens & Minor Senior Counsel Commercial in Mechanicsville, Virginia
Provides legal, risk mitigation and other advice to the company and its leadership as it relates to commercial business, strategy and operational matters, primarily around commercial contracting supporting the Company's Domestic business unit.Guides business leaders and relationship managers in the legal requirements of the business, providing value-added insights based on subject matter expertise in the area of commercial contracting and commercial business.
ESSENTIAL JOB FUNCTIONS:
1.Works independently and in teams to identify and advise on legal, business and strategic issues; recognizes and clearly articulates legal and other risks; counsels and advises senior management on risk assessments of activities and mitigates risks pragmatically.
2.Drafts, reviews, negotiates and interprets agreements, including distribution and services agreements; develops and enhances contract templates and guidelines, to ensure contract language meets legal requirements and is designed to mitigate risk/liability to the Company.
3.Develops a thorough understanding of the company's business, its people, products, customers and competitors to provide strategic guidance to internal clients.
4.Advises senior management on legal issues related to mergers & acquisitions, new business ventures or other strategic transactions.
5.Assists in the design, implementation, and maintenance of contracts management system and associated processes ensuring that all agreements are archived logically and that contract obligations, deadlines, and expirations are tracked and managed appropriately.
6.Provides legal support across the organization over a broad variety of issues, including identifying practical solutions that balance the risk/benefit for the company.
7.Depending on experience, supports legal activities in other substantive areas, as needed.
8.Supports the organization in maintaining a work environment focused on quality and that fosters learning, respect, open communication, collaboration, integration, and teamwork.
SUPPLEMENTAL JOB FUNCTIONS:
1.Performs additional duties as directed.
2.Ability to travel up to 10% of the time.
EDUCATION & EXPERIENCE REQUIRED:
1.Juris Doctorate required;admission to the Virginia state bar required.
2.Five plus years legal experience with significant experience in commercial contracting matters.
3.At least two years at a US top tier law firm and in-house experience preferred.
4.In depth knowledge of best legal practices and business legal strategies.
5.International regulatory experience/exposure is preferred.
KNOWLEDGE SKILLS & ABILITIES:
1.Experience with Group Purchasing Organization (GPO) agreements, transportation agreements, distributions agreements and/or third-party logistic agreements preferred.
2.Knowledge of US healthcare laws and regulations preferred.
3.Ability to respond effectively and quickly to clients' needs and issues.
4.Communicates effectively and persuasively, both verbally and in writing.
