POSITION SUMMARY

 

Corporatein-house counsel position providing legal advice and support to the commercialand corporate support teams, focused primarily on commercial distribution,logistics and procurement contracting. The ideal candidate will be anexperienced commercial attorney with superior academic and professionalcredentials, a strong background in handling complex contracting and a strongwork ethic.

ESSENTIAL JOB FUNCTIONS:

1.       Negotiates, reviews, drafts and revises contracts, requests for proposal, and other legal documents. 

2.       Provides accurate and timely counsel to in-house clients on contracts and related legal topics.  Performs legal research to advise the Company on general corporate and other legal matters.

3.       Evaluates and advises on associated risks and financial consequences of business decisions and operations.

4.       Interprets pricing models and related financial issues and incorporates into contract terms.

5.       Applies effective risk management techniques and offers proactive advice on potential legal issues.

6.       Monitors regulatory requirements and developments to ensure company compliance with applicable laws. Assists in determining which laws, rules or regulations are applicable to the business of the Company.  Assists in implementing policies, procedures and programs to assure the company conducts its business in compliance with all applicable laws, rules or regulations.

7.       Manages complex legal and business matters with multiple stakeholders and forces.

8.       Conducts work with integrity, discretion, and accountability.

SUPPLEMENTAL JOB FUNCTIONS:

  1. Conducts investigations, as required, briefing company management and teammates on employment-related legal issues.
  2. Performs additional duties as directed.


EDUCATION & EXPERIENCE:

  • Juris Doctorate (JD) degree from accredited university
  • Two (2) or more years of experience practicing law at a top-tier law firm or equivalent organization
  • Proven experience as a legal counsel in business environment; experience in healthcare or distribution preferred

KNOWLEDGE SKILLS & ABILITIES:

  • Excellent knowledge and understanding of commercial contracting
  • Working knowledge of financial and accounting principles and sufficient financial acumen to understand complex pricing models
  • Must be comfortable learning new areas of the law quickly, analyzing issues and advising directly or escalating to other teammates or outside counsel
  • High degree of professional ethics and integrity
  •  Sound judgement and ability to analyze situations and information to provide practical legal advice
  • Excellent written and verbal communication skills
  • Excellent planning and organizational skills
  • Excellent project management skills
  • Outstanding and persuasive presentation skills
  • Ability to lead, provide guidance and supervision to others, and act decisively
